Harvia Plc is a Finnish public limited liability company domiciled in Muurame, Finland. Harvia’s shares are listed on the Nasdaq Helsinki stock exchange, and its corporate governance and management comply with the legislation governing listed companies, the company’s Articles of Association, the rules and regulations of Nasdaq Helsinki Ltd, the regulations and guidelines of the Finnish Financial Supervisory Authority, and the Finnish Corporate Governance Code issued by the Finnish Securities Markets Association, effective as of 1 January 2025. The implementation of corporate governance at Harvia is further supported by the company’s internal guidelines, rules of procedure, and operating principles.
Harvia’s Annual General Meeting, the Board of Directors, and the CEO are responsible for the company’s business operations and their management. The CEO is supported by the Group’s Management Team.
Harvia Plc’s General Meeting of shareholders is the company’s highest decision-making body. It is held at least once a year on a date set by the Board of Directors, within six months of the end of the financial year.
The General Meeting elects the Chair of the Board, the Deputy Chair of the Board, and other members of the Board of Directors based on the proposal of the Shareholders’ Nomination Board and in accordance with the company’s Articles of Association.
The CEO is appointed by the Board of Directors. The CEO is a corporate body under the Finnish Limited Liability Companies Act, responsible for managing the company’s day-to-day administration in accordance with the instructions and regulations issued by the Board of Directors. Harvia’s Management Team supports the CEO and is responsible for the development and operational activities of the Group and its business, in accordance with the objectives set by the Board of Directors and the CEO. The Management Team convenes regularly and is chaired by the company’s CEO.
