Transfer of own shares in 2025

On 26 February 2025, Harvia transferred without consideration 9,852 own shares held by the company to key personnel participating in the company’s share-based incentive program in accordance with the program conditions. The share payments concerned the performance period 2022–2024 of the company’s share-based incentive program launched in 2022.

In addition, on 23 May 2025, Harvia transferred 1,555 own shares held by the company to the members of the Board of Directors without consideration as part of the remuneration of the members of the Board. The transfer of own shares was based on the authorization granted by the Annual General Meeting held on 8 April 2025.

After the transfer of shares as part of the Board remuneration and under the incentive program, Harvia Plc holds 3,800 own shares.

Repurchase of own shares in 2024

On 10 December 2024, Harvia started repurchasing the company’s own shares based on the authorization given by the Annual General Meeting on 26 April 2024. The shares were repurchased to be used as a part of the company’s incentive plan.

  • The repurchase of own shares started on 10 December 2024 and ended on 12 December 2024.
  • Harvia acquired a total of 11,000 own shares for an average price of EUR 43.88 per share. The shares were acquired at market price at the time of purchase through public trading on Nasdaq Helsinki Ltd.
  • Following the repurchase, Harvia Plc held a total of 15,207 own shares, corresponding to 0.08% of the total number of shares.

Transfer of own shares in 2024

On 10 June 2024, Harvia transferred without consideration 865 own shares held by the company to key personnel participating in the company’s share-based incentive program in accordance with the program conditions. The share payments concerned the performance period 2021–2023 of the company’s share-based incentive program launched in 2021.

The company held a total of 4,207 own shares after the transfer of shares under the incentive program.

Transfer of own shares in 2023

On 30 May 2023, Harvia transferred without consideration 9,109 own shares held by the company to key personnel participating in the company’s share-based incentive program in accordance with the program conditions. The share payments concerned the performance period 2020–2022 of the company’s share-based incentive program launched in 2020.

In addition, based on the decision of the Annual General Meeting held on 20 April 2023, Harvia transferred a total of 2,328 own shares to members of the Board of Directors of Harvia Oyj as part of the Board’s remuneration.

After the transfer of shares as part of the Board remuneration and the shares transferred at the same time under the incentive program, the company held a total of 9,637 own shares.

Repurchase of own shares in 2022

On 14 December 2022, Harvia started repurchasing the company’s own shares based on the authorization given by the Annual General Meeting on 7 April 2022. The shares were repurchased to be used as a part of the company’s incentive plan.

  • Harvia acquired a total of 16,000 own shares for an average price of EUR 19.47 per share. The shares were acquired at market price at the time of purchase through public trading on Nasdaq Helsinki Ltd.

On 12 May 2022, Harvia transferred without consideration 45,983 own shares held by the company to key personnel participating in the company’s share-based incentive program in accordance with the program conditions. The share payments concerned the performance period 2019–2021 of the company’s share-based incentive program launched in 2019.

After the transfer of shares, the company held a total of 5,074 own shares.
